Coworking space agreement points



1. Membership and Usage


1.1 The Provider hereby grants the Client access to the co-working space in accordance with the terms of the agreed membership plan.
1.2 The Client shall use the space exclusively for business and professional purposes.
1.3 The subletting, sharing, or transferring of the assigned workspace to any third party is strictly prohibited, except with the prior written consent of the Provider.


2. Payment Terms


2.1 The Client agrees to remit the monthly membership fee on or before the specified due date.
2.2 In the event of late payment, the Client will incur a penalty charge of [X% or X amount] for every [X] days of delay.
2.3 Failure to make payment within [X] days of the due date may result in the suspension or termination of services, at the sole discretion of the Provider.
2.4 The Client is required to observe a mandatory two-month lock-in period, during which no termination of the Agreement will be allowed.
2.5 The Client shall pay a one-month security deposit and one month’s advance payment upon execution of this Agreement.
2.6 The advance payment is refundable only upon the completion of the lock-in period, subject to any outstanding charges or damages.


3. Damage Charges


3.1 The Client assumes full responsibility for any damage caused to the furniture, equipment, or property, whether through negligence or misuse.
3.2 The Provider will evaluate the extent of any damages and the Client will be held liable for repair or replacement costs as determined by the Provider.


4. Access and Late Stay Charges


4.1 The co-working space shall operate during the hours of [Start Time] to [End Time].
4.2 Should the Client require access to the space beyond the agreed hours, an additional charge of [X amount] per hour will apply.
4.3 Any late stays exceeding [X] hours must be pre-approved by the Provider.


5. Printout Limits


5.1 Each membership includes a monthly printout allowance of 50 pages.
5.2 Any printouts beyond this limit will be subject to a charge of [X amount] per page.


6. National Holidays and Overage Charges


6.1 The co-working space will be closed on national holidays unless specific arrangements are made in advance.
6.2 The Client acknowledges that use of the space or services during a national holiday will incur an additional overage fee of [X amount].
6.3 Prior reservation is required for use of the space during national holidays.


7. Code of Conduct


7.1 Pets and animals are prohibited within the co-working space unless expressly authorized by the Provider.
7.2 Clients who breach any provisions of this Agreement may be subject to fines, suspension, or permanent termination of their membership, depending on the nature of the violation.
7.3 Repeated or severe breaches, including but not limited to non-payment, disruptive behavior, or misuse of resources, may result in immediate termination of membership without refund.
7.4 Clients must maintain a respectful and professional demeanor at all times to foster a conducive work environment.
7.5 Clients shall ensure that noise levels are kept to a minimum, particularly in shared or common areas. Loud conversations or phone calls must be avoided.
7.6 Headphones are required for audio playback in open areas.
7.7 The use of the co-working space’s internet connection is permitted for professional activities only.
7.8 Accessing illegal, offensive, or inappropriate websites is strictly prohibited.
7.9 Unauthorized access to the network or devices is forbidden.
7.10 Use of ethernet cables to connect to the network is only permitted with prior approval from the Provider.
7.11 Harassment, discrimination, or disruptive behavior of any kind is not tolerated.
7.12 The use or possession of illegal substances within the premises is strictly prohibited.


8. Termination and Cancellation


8.1 The Provider reserves the right to terminate this Agreement for non-payment, repeated violations of the Code of Conduct, illegal activities, or any failure to comply with the workspace policies.
8.2 In the event the Provider terminates the Agreement due to breach by the Client, any advance payments or deposits shall be forfeited.
8.3 If the Client terminates the Agreement in accordance with the required notice, the security deposit and refundable advance payment will be returned within [X] days of termination, less any outstanding dues or damage costs.
8.4 The Client must provide written notice of two months before the commencement of the Agreement if they wish to cancel prior to occupying the space.
8.5 The Client must provide two months’ written notice for cancellation of membership after occupancy.
8.6 Any outstanding dues must be settled before cancellation is processed.
8.7 The Agreement may not be terminated prior to the completion of the two-month lock-in period.


9. Liability and Indemnity


9.1 The Provider shall not be held liable for any loss, theft, or damage to the Client’s personal belongings.
9.2 The Client agrees to indemnify and hold the Provider harmless from any claims, damages, or losses arising out of the Client’s use of the co-working space.
